THESE TERMS CONTAIN BINDING ARBITRATION AND CLASS ACTION WAIVER PROVISIONS THAT AFFECT YOUR LEGAL RIGHTS.
Please read all sections carefully before using our services. By using Time/Assure, you agree to resolve disputes through individual arbitration only.
Welcome to Time/Assure, a Georgia limited liability company located at 2925 Buford Dr, Buford, GA 30519. We operate TimeAssure, a digital platform where users create Events, invite participants, reserve Wallet funds for Commitment Deposits, verify Check-ins, and review settlement or Claim outcomes. These Terms govern each individual who accesses, uses, or attempts to use our Services.
BY USING OUR SERVICES, YOU ACKNOWLEDGE AND AGREE THAT: (a) you have read and understood these Terms in their entirety; (b) you agree to be legally bound by all provisions; (c) you have the legal authority to enter into this binding contract; (d) your use constitutes acceptance of these Terms; and (e) these Terms form a legally enforceable agreement. These Terms incorporate our Privacy Policy, Acceptable Use Policies, and any supplemental terms.
The Services are only for individuals who are at least 18 years old and have the legal capacity to enter a binding contract. You may not create an account for another person or use the Services if applicable law bars you from doing so.
Time/Assure operates a commitment-deposit platform. The Services support Events, participant invitations, Wallet funding, Commitment Deposit reservations, GPS or QR Check-ins, notifications, settlements, and Claims.
TIME/ASSURE IS NOT: A bank, financial institution, money services business, escrow agent, trustee, fiduciary, insurer, or guarantor. We operate exclusively as a technology platform facilitating payment collection and administrative functions. We act solely as a limited payment processing facilitator, not in any fiduciary capacity.
An Event organizer sets the Event terms and Commitment Deposit requirement. Participants review those terms before joining. Time/Assure facilitates payment processing, Wallet reservations, settlement, and Claim review under the terms and platform rules shown for the Event. Time/Assure does not guarantee that any participant will perform a commitment.
Time/Assure may charge subscription, payment-processing, withdrawal, or other service fees. We show applicable fees before the related purchase or transaction. Fees are in U.S. dollars, exclusive of taxes, and refundable only when the displayed terms or applicable law require it.
Stripe processes supported card and bank transactions under its own terms and privacy notice. Apple processes iOS App Store subscription purchases, renewals, and restorations under Apple's terms. Time/Assure stores processor and transaction identifiers, but does not store complete payment-card numbers or card security codes.
Refunds, Event cancellations, settlements, and Claim outcomes follow the Event terms and platform rules shown before the related action. Users can submit eligible Claims through the Services. Payment-processor or card-network disputes remain subject to the applicable processor and network rules.
"AS IS" Disclaimer: THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." Time/Assure expressly disclaims all warranties including merchantability, fitness for particular purpose, and non-infringement. We make no guarantees regarding service reliability, accuracy, or performance.
Maximum Liability Protection: TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIME/ASSURE SHALL NOT BE LIABLE FOR ANY:
TOTAL LIABILITY CAP: The greater of fees paid in the past 12 months or $100.00
You Agree to Defend Time/Assure: You must defend, indemnify, and hold harmless Time/Assure from all claims arising from: (a) your use of the Services; (b) violation of these Terms; (c) violation of third-party rights; (d) User Content you submit; (e) disputes with other users; and (f) any negligent acts or misconduct.
These Terms are governed by Georgia state law, without regard to conflict of laws principles.
ALL DISPUTES MUST BE RESOLVED THROUGH BINDING ARBITRATION administered by the American Arbitration Association in Atlanta, Georgia. The arbitrator's decision is final and binding.
YOU WAIVE THE RIGHT TO: (a) trial by jury; (b) participate in class actions; (c) join or consolidate claims; and (d) bring claims on behalf of others. Each party may only bring individual claims.
